A non-disclosure agreement is an enforceable contract that parties enter into before they exchange private and confidential information about themselves or their business. A signed non-disclosure agreement provides the person disclosing confidential information with legal recourse if the other party wrongfully distributes or attempts to disseminate the protected information. While there are plenty of non-disclosure agreement forms floating around the internet, most are inadequate and do not protect a Houston small business owner because the author was not a licensed Texas lawyer and did not intend for it to be used in Texas.
VLF recommends that Houston small business owners use a non-disclosure agreements before sharing financial summaries, before sharing pricing or marketing strategies, and before sharing any other information that a business owner would not want posted online for the world to see.
